Based in Bellingham, Washington, the firm’s legal practice focuses on the representation of companies, entrepreneurs, creatives, and professionals in connection with business transactions and contracts, including startup formation, financing, contract drafting and negotiation, mergers and acquisitions, corporate governance, and securities regulation.

Bob Muraski

Business Attorney

Bob Muraski has practiced law since 2000. Prior to starting Muraski Legal in Bellingham, Bob practiced at established law firms in Seattle and Portland and represented businesses and entrepreneurs in a variety of industries, including technology, advanced manufacturing, financial services, and recreation.

Bob received his J.D. from the University of Oregon School of Law, his M.B.A. from the University of Oregon Lundquist College of Business, and his B.S. in accounting from DePaul University. Bob is admitted to practice law in Washington and Oregon.

We work closely with our clients, and our attorneys have experience handling a variety of business matters, including the following:

  • Entity formation for technology and traditional startups, real estate and intellectual property holding companies, and professional practices;
  • Preparing and reviewing common commercial agreements, such as online terms of use, master services agreements and SOWs, vendor agreements, employment agreements, independent contractor agreements, and nondisclosure agreements;
  • Preferred stock, convertible debt, and institutional loan financings, including friends and family, angel, and venture capital financings;
  • Acquisitions, sales, and combinations of private companies in a variety of industries, including sales and mergers involving NYSE- and NASDAQ-listed companies;
  • Representing investors and executives in connection with investment documents, shareholder agreements, employment terms, stock options, participation rights, and separation agreements;
  • Developing licensing and distribution agreements under SaaS, platform, and other business models and providing training and ongoing support to sales personnel; and
  • Corporate reorganizations, including reorganizations to streamline operations, comply with U.S. and international tax laws, protect intellectual property, accommodate joint ventures, and encourage outside investment.
